MEMBERSHIP AGREEMENT & TERMS & CONDITIONS 

THIS AGREEMENT is entered into on this 16th day of July 2026 by and between:

(hereinafter referred to as the Service Provider) 


AND 

(hereinafter referred to as the Client) 


NOW therefore it is hereby agreed as follows- 


  1. Training Services:

The client  can opt for semi-private training, which may consist of either a two (2) day per week or three (3) day per week training schedule. Training sessions shall be conducted at the Service Provider's premises and shall consist of one (1) hour per session.The Client may select from the available training slots, including but not limited to 6:00 a.m., 6:30 a.m., 7:00 a.m., 7:30 a.m., 8:00 a.m., 9:00 a.m., 10:00 a.m., 5:00 p.m., 6:00 p.m., and 7:00 p.m., subject to availability. 

 

  1. Membership Duration and Subscription Plans:

The Client can subscribe to the training programme on a monthly, quarterly, half-yearly, or annual basis. It is to understood that each subscription has a constant validity date across the package: Monthly - 30 days, Quarterly - 90 days, Half yearly - 180 days and Annual - 360 days


  1. Fees and Payment:

The client agrees to make the payment either via UPI or Bank Transfer. The client agrees to refrain from making cash payments for the services provided. 

The client agrees to make the payment 2 days prior to the commencement of each subscription cycle. Non-payment or non-renewal of the package may result in the discontinuation/suspension  of the training services. 


  1. Membership Freeze: 

Quarterly, Half-Yearly, and Annual Memberships may be frozen for a period ranging from two (2) weeks to four (4) weeks, subject to prior approval by the Service Provider.

Monthly Memberships are not eligible for membership freezes.

Eligible memberships may also be paid through approved instalment plans offered by the Service Provider.


  1. Slotbooks Portal:

As a condition of enrolment, the Client agrees to register and maintain an active account on the Slotbooks platform.

The Client acknowledges and agrees that all training sessions under the applicable subscription shall be pre-booked through the Slotbooks platform.

The Client shall be solely responsible for managing, rescheduling, or cancelling booked sessions through the platform.


  1. Cancellation and Rescheduling of Sessions:

The Client may cancel or reschedule a booked session through the Slotbooks platform provided that such cancellation or rescheduling is completed at least thirty (30) minutes prior to the scheduled session time.

Where the required notice period is not provided, the session shall be deemed attended and deducted from the Client's available sessions, except where the Service Provider, in its sole discretion, determines that exceptional or unforeseen circumstances justify an exemption.

The Client is responsible for monitoring their available sessions and managing their bookings through the Slotbooks platform.

In the event the Service Provider cancels a session without providing the required notice period, the Client shall be entitled to one (1) complimentary session as compensation. 


  1. Unused Sessions:

Any cancelled or unused sessions may be attended during alternate training slots, subject to availability, provided that all such sessions are completed within the validity period of the applicable membership.

Unused sessions shall not be carried forward beyond the membership validity period unless otherwise approved in writing by the Service Provider.


  1. Termination:

The Client may terminate their membership upon the expiry of the applicable subscription period or payment schedule.

The Service Provider reserves the right to terminate or decline renewal of the Client's membership upon the expiry of the applicable subscription period or payment schedule.


If the Client elects to discontinue the programme during an active subscription period, all fees paid shall remain non-refundable. The Client shall be entitled to utilise any remaining sessions within the validity period of the subscription.


If the Service Provider terminates the membership before the expiry of the subscription period for reasons not attributable to the Client, the Service Provider shall refund the value of any unused sessions on a pro-rata basis.


  1. Conduct: 

The Client agrees to behave respectfully towards trainers, staff, and fellow participants and to comply with all facility rules and safety instructions.

The Service Provider reserves the right to suspend or terminate membership without refund in the event of misconduct, abusive behaviour, harassment, or conduct that endangers the safety of others.


  1. Personal belongings: 

The Service Provider shall not be responsible for any loss, theft, or damage to the Client's personal belongings while attending training sessions or using the premises. 


  1. Media Consent: 

By signing this agreement, you have the option to consent or decline the use of your image, videos, or testimonials in any social media posts or stories published by LivStack Health and Performance.

  1. Governing Law:

This Agreement shall be governed by and construed in accordance with Indian Law.


  1. Entire Agreement:

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.


  1. Amendments:

Any amendments to this Agreement must be in writing and signed by both parties.


  1. Force Majeure:

The Service Provider shall not be liable for any interruption, suspension, or cancellation of services resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, government restrictions, epidemics, power outages, or other force majeure events.


IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
